dsm-firmenich Names Noviwest and Panavora to Reshape Its Animal Nutrition Business

dsm-firmenich Names Noviwest and Panavora as Future Standalone Companies Ahead of CVC Transaction

KAISERAUGST, Switzerland / MAASTRICHT, Netherlands, 23 October 2026: dsm-firmenich has unveiled Noviwest™ and Panavora™ as the names of the two standalone businesses expected to emerge from the planned sale of its Animal Nutrition & Health (ANH) business to CVC Capital Partners. Announced on 22 October, the development marks an important milestone in the restructuring of one of the global animal nutrition industry’s major ingredient and solutions portfolios.

The proposed transaction, announced in February 2026, values the ANH business at approximately €2.2 billion in enterprise value, including an earnout of up to €500 million. dsm-firmenich will retain a 20% equity interest in each future company, with CVC acquiring the remaining interests, subject to completion.

The naming announcement provides greater clarity on the intended positioning of the two businesses, which will have complementary but distinct strategic priorities.

Noviwest:Essential Ingredients and Manufacturing Resilience

Noviwest will focus on vitamins, carotenoids and aroma ingredients, drawing on dsm-firmenich’s established manufacturing expertise and global customer relationships.

The business is expected to serve customers across food, feed, fragrance and pharmaceutical ingredient markets. Its European vitamin-manufacturing footprint is a central element of its positioning at a time when supply-chain resilience, manufacturing reliability and access to essential ingredients remain important considerations for global nutrition industries.

Silvia Sonneveld, currently head of the Vitamins Unit at dsm-firmenich Animal Nutrition & Health and designated CEO of Noviwest, emphasised the importance of maintaining high-quality supply and building on the business’s established technical expertise.

For animal nutrition customers, the significance extends beyond the availability of individual ingredients. Vitamins are essential inputs into feed formulations, premixes and nutrition programmes. Manufacturers must manage production reliability, quality consistency, sourcing and the cost implications of changing market conditions.

Noviwest’s future competitive position will depend on its ability to maintain customer confidence, manage manufacturing economics and deliver reliable supply as an independent business.

Panavora: Premixes, Feed Additives and Precision Services

Panavora will focus on science-based animal nutrition and health solutions. Its planned activities encompass premixes, performance solutions, precision services, feed additives and digital products.

Ivo Lansbergen, president of dsm-firmenich Animal Nutrition & Health and designated CEO of Panavora, has positioned the future business around combining nutritional science, data and customer collaboration to improve outcomes across animal-protein production.

Panavora’s proposed model brings together product development and customer-facing capabilities across the livestock value chain. Its opportunity lies in helping producers address challenges such as animal performance, feed efficiency, health management and production sustainability.

However, the commercial value of these offerings will ultimately depend on measurable customer outcomes, product economics, technical support and the ability to scale solutions across different species, production systems and geographies.

Transaction Economics: What the €2.2 billion Valuation Means

The transaction represents the final major step in dsm-firmenich’s stated portfolio transformation towards a consumer-focused business in nutrition, health and beauty. The principal announced financial metrics are:

Metric
Announced position
Enterprise value for ANH transaction
Approximately €2.2 billion
Maximum earnout
Up to €500 million
dsm-firmenich retained ownership
20% in each future company
ANH annualised net sales in 2025
Approximately €3.5 billion
ANH workforce
Around 8,000 employees
Expected transaction completion
End of 2026

The €2.2 billion figure includes the potential earnout; it should not be interpreted as a guaranteed cash payment at closing. The company also disclosed expected proceeds and financing arrangements in its February announcement.

The transaction follows the 2025 sale of dsm-firmenich’s feed-enzymes activities to Novonesis for €1.5 billion. Including that earlier disposal, the company described the combined enterprise value of its ANH divestment programme as approximately €3.7 billion.

Bovaer® and Veramaris™ remain with dsm-firmenich, according to the original transaction announcement.

Strategic Implications for the Animal Health and Feed Industries

1. A clearer distinction between ingredients and solutions

The proposed structure separates essential-ingredient manufacturing from customer-focused animal nutrition solutions. This could give each business greater strategic focus, although operational performance after separation will determine whether the benefits materialise.

2. Supply continuity remains critical

Noviwest will operate in markets where manufacturing reliability and ingredient quality are central to customer relationships. Its separation makes supply agreements and transition planning especially important.

3. Digital and precision nutrition remain competitive priorities

Panavora’s positioning reflects the growing importance of data-enabled services alongside conventional feed additives and premixes. The challenge will be to demonstrate measurable improvements in production and animal-health outcomes rather than relying on technology positioning alone.

4. Investment and partnership opportunities could evolve

Separate ownership structures may create opportunities for targeted investment, partnerships and portfolio development. These remain potential outcomes; no specific new acquisitions or financial synergies were disclosed in the naming announcement.

What Happens Next?

The transaction remains subject to applicable regulatory approvals, employee consultation processes and the work required to establish and separate the two standalone businesses. Until closing, ANH remains part of dsm-firmenich and continues to serve its customers.

For feed manufacturers, livestock producers, distributors and pharmaceutical ingredient customers, the near-term priorities are continuity of service, clarity over future contracting arrangements and visibility into the operating model following completion.

Industry outlook: The naming of Noviwest and Panavora is a meaningful organisational milestone, not the completion of the sale. The transaction’s longer-term significance will be determined by how successfully the two businesses protect customer relationships, maintain reliable supply and convert their respective strategic focuses into sustainable growth.
