The U.S. Federal Trade Commission (FTC) has expanded its antitrust investigation into the proposed $3.5 billion merger between Covetrus Inc. and MWI Animal Health.

The regulatory agency began issuing formal Civil Investigative Demands (CIDs) to third-party market participants—including veterinary practices, pharmaceutical manufacturers, and competing distributors.

Civil Investigative Demands function as legal subpoenas that require third-party businesses to provide data, pricing agreements, and testimony regarding industry market conditions, distribution dynamics, and potential barriers to entry.

This step indicates that antitrust enforcement officials have moved beyond the initial 30-day Hart-Scott-Rodino (HSR) screening window into an in-depth merger investigation.

Market Concentration: Consolidation from 3 National Distributors to 2

The core of the FTC’s antitrust inquiry centers on market concentration within the U.S. companion animal and production livestock supply chains.

Currently, full-line wholesale distribution of vaccines, pharmaceuticals, diagnostic equipment, and surgical supplies to U.S. veterinary clinics is dominated by three nationwide companies:

  1. Covetrus Inc. (backed by private equity firms Clayton, Dubilier & Rice and TPG)

  2. MWI Animal Health (a wholly owned subsidiary of Cencora, Inc., formerly AmerisourceBergen)

  3. Patterson Veterinary (a division of Patterson Companies, Inc.)

Combining Covetrus and MWI would consolidate the national market down to two major distributors. Independent veterinary clinic groups and industry analysts have expressed concerns that reducing the field to a duopoly could lessen purchasing leverage for independent veterinary practices, leading to higher product acquisition costs and reduced service terms.

Transaction Overview and Financial Terms

Announced in February 2026, the agreement between Covetrus and parent company Cencora (NYSE: COR) values MWI Animal Health at an enterprise value of $3.5 billion.

Upon transaction close, Cencora will retain a 34.3% non-controlling common equity stake in the newly formed entity, allowing the human pharmaceutical giant to monetize its animal health asset while retaining upside exposure to the consolidated platform.

Covetrus Chief Executive Officer Ben Wolin previously framed the merger as a value-generating strategy that unites Covetrus’s practice management software and pharmacy technology with MWI’s physical logistics network, aiming to create cost efficiencies for clinics.

However, both companies anticipated extensive antitrust scrutiny when structuring their definitive agreement. In its corporate disclosures, Cencora reaffirmed its fiscal guidance without assuming the transaction would close before the end of its fiscal year.

Depending on whether the FTC chooses to challenge the deal or demand structural divestitures (such as offloading specific regional distribution hubs or product lines), the review process could extend the transaction timeline into early 2027.
